- News: NOTICE IS HEREBY GIVEN in accordance with Sections 10.02(b) and 10.06 of the Indenture of Trust, dated as of October 1, 2008, as supplemented and amended by the Series 2011 Supplemental Indenture of Trust, dated as of May 1, 2011, and the 2014 Supplemental Indenture of Trust (collectively, the Indenture), each between The Industrial Development Authority of the City of Phoenix, Arizona (the Phoenix IDA), and U.S. Bank National Association, as trustee (the Trustee), pursuant to which the above-referenced securities (the Series 2011 Bonds) were issued, that Arizona School for the Arts, an Arizona nonprofit corporation (the Borrower), has requested that the Issuer authorize, and the Trustee consent to, the execution and delivery of a First Amendment to Loan Agreement (the First Amendment), between the Issuer and the Borrower, to amend the Loan Agreement, dated as of May 1, 2011 (the Series 2011 Loan Agreement), between the Issuer and the Borrower, pursuant to which the Issuer loaned the proceeds of the Series 2011 Bonds to the Borrower. Capitalized terms used herein and not otherwise defined shall have the meanings ascribed thereto in the Indenture. Pursuant to the Indenture, the Issuer and the Trustee, as applicable, are authorized to execute and consent to, as applicable, the First Amendment if certain conditions are met, including obtaining the consent of the Beneficial Owners of not less than a majority in aggregate principal amount of the Bonds (including the Series 2011 Bonds) then Outstanding. A copy of the First Amendment, which will revise certain covenants of the Borrower in the Series 2011 Loan Agreement, is attached hereto as Exhibit A.
