- News: NOTICE IS HEREBY GIVEN to the Bondholders of the above-referenced bonds (the Bonds) pursuant to Sections 12.7(c) and 12.8(c) of the Bond Trust Indenture dated as of October 1, 2009 (the Indenture), between the Orange County Health Facilities Authority (the Authority) and The Bank of New York Mellon Trust Company, N.A., as trustee and tender agent (the Trustee), relating to the Bonds, that all Bonds are subject to mandatory tender for purchase on January 17, 2017 (the Mandatory Tender Date) at a purchase price equal to the principal amount of thereof plus accrued interest thereon to but not including the Mandatory Tender Date (the Purchase Price). Capitalized terms used herein but not defined herein shall have the meanings assigned to such terms in the Indenture. The proceeds of the Bonds were loaned to The Nemours Foundation (Nemours). Nemours intends to exercise its option to deliver to the Trustee a Substitute Liquidity Facility and a Substitute Credit Facility in the form of a single Irrevocable Letter of Credit (the Letter of Credit). The Letter of Credit will be effective on January 18, 2017.
