  • News: Notice of Replacement of MBHS Master Indenture and Issuance of Substitute Obligations. Baptist Memorial Health Care Corporation, a Tennessee nonprofit corporation (BMHCC), and MBHS entered into a Shared Mission Agreement effective as of May 1, 2017, as described in the Notice of Significant Event dated May 8, 2017. Effective August 15, 2017, the MBHS Master Trust Indenture dated as of February 1, 2007 (the MBHS Master Indenture) was replaced by the System Trust Indenture dated as of September 1, 2004, between BMHCC, the other Members of the Obligated Group named therein, and U.S. Bank National Association, as trustee (as modified and supplemented by various supplements thereto, the BMHCC System Indenture) and the MBHS Master Indenture was terminated. Obligations were issued under the BMHCC System Indenture in substitution for Obligations that had been issued and outstanding under the MBHS Master Indenture to secure the following obligations of MBHS: (a) Mississippi Hospital Equipment and Facilities Authority Revenue Bonds, Series 2007A (Mississippi Baptist Health Systems, Inc.), $120,905,000, dated March 1, 2007, now outstanding in the principal amount of $63,990,000 (the 2007A Bonds). (b) Mississippi Hospital Equipment and Facilities Authority Revenue Refunding Bonds (Mississippi Baptist Health Systems, Inc.), Series 2015A, $50,725,000, dated April 1, 2015, now outstanding in the principal amount of $50,725,000. (c) Swap transaction between MBHS and Deutsche Bank AG, New York Branch in the notional amount of $80,000,000 pursuant to ISDA Master Agreement dated as of April 29, 2013 and a Novation Confirmation dated April 29, 2013. 2. Addition of New Obligated Group Members. Effective August 15, 2017, the following became Members of the Obligated Group under the BMHCC System Indenture: MBHS, Mississippi Baptist Medical Center, Inc., a Mississippi nonprofit corporation, Baptist Memorial Hospital-Calhoun, Inc., a Mississippi nonprofit corporation, and Baptist Nursing Home-Calhoun, Inc., a Mississippi nonprofit corporation. 3. Total Return Swap Transaction and Cancellation of Certain 2007A Bonds. On August 15, 2017, Bank of America, N.A. (BANA) purchased the outstanding 2007A Bonds and entered into a total return swap transaction with BMHCC pursuant to an ISDA Master Agreement dated as of March 31, 2015 and three confirmations each dated August 15, 2017. With the consent of BANA, as the 2 holder of the 2007A Bonds, money in the Debt Service Reserve Fund for the 2007A Bonds was released and 2007A Bonds in the principal amount of $8,245,000 (all of the 2018 maturity and $2,205,000 of the 2020 term bond) were surrendered and cancelled. 4.
