- News: WHEREAS, the Corporation and the Purchaser have previously entered into that certain Continuing Covenant Agreement dated as of October 1, 2017 (as amended, restated, supplemented or otherwise modified from time to time, the Agreement), relating to the Indiana Finance Authority Hospital Revenue Bonds, Series 2011H (Indiana University Health Obligated Group); WHEREAS, pursuant to Section 9.01 of the Agreement, the Agreement may be amended by a written amendment thereto executed by the Corporation and the Purchaser; and WHEREAS, the Corporation has requested that certain amendments be made to the Agreement, and the Purchaser has agreed to make such amendments to the Agreement subject to the terms and conditions set forth herein. NOW THEREFORE, in consideration of the premises, the parties hereto hereby agree as follows: SECTION 1. AMENDMENTS. Upon the satisfaction of the conditions precedent set forth in Section 2 hereof, the Agreement is hereby amended as follows: 1.01. The following definitions in Section 1.01 of the Agreement are hereby amended and restated in their entireties to read as follows: Credit Group or Credit Group Members means all Obligated Group Members and Designated Affiliates. Historical Debt Service Coverage Ratio means, with respect to the period of time for which calculated, the ratio consisting of a numerator equal to the amount determined by dividing Income Available for Debt Service for such period by the Annual Debt Service for such period.
