(the Trustee) is the Successor Trustee under that certain Trust Indenture and Security Agreement, dated as of May 1, 2011 (the Bond Indenture), between Beasley Higher Education Finance Corporation (Beasley) and Wells Fargo Bank, National Association (the Original Trustee), and is Successor Master Trustee under that certain Master Trust Indenture and Security Agreement dated as of May 1, 2011 (the Master Indenture), between FOCUS Learning Academy Incorporated (FOCUS) and the Original Trustee. The proceeds of the Bonds were lent to FOCUS pursuant to that certain Loan Agreement between Beasley and FOCUS (the Loan Agreement), which Loan Agreement has been assigned to the Trustee. The obligations of FOCUS were secured by, inter alia, that certain Deed of Trust (the DOT) between FOCUS and the Original Trustee, which DOT has been assigned to the Trustee. Capitalized terms not defined shall have the definitions ascribed them in the Bond Indenture or Master Indenture, as applicable. Bondholders were previously notified of the closing of the transaction to transfer the Collateral from FOCUS to Trinity Basin Preparatory, Inc. (TBP), on May 25, 2018 (the Closing). Contemporaneous with the Closing, FOCUS, TBP and the Trustee executed the Assignment and Assumption Agreement whereby FOCUS assigned and TBP assumed any rights, duties, liabilities and obligations of FOCUS under the Financing Documents,2 subject to the conditions set forth in the Forbearance Agreement. Copies of the Assignment and Assumption Agreement and the Forbearance Agreement are available from the Trustee upon request. The Trustee has received certain payments from TBP since the Closing in the amounts agreed to under the Forbearance Agreement. The amount received from TBP and distributed is $11,774.00. 1 No representation is made as to the correctness of the CUSIP numbers which are included solely for the convenience of the holders of the Bonds. 2 Financing Documents means collectively those documents in the closing transcript for the Bonds and those documents effective contemporaneously with FOCUSs sale to TBP of the Collateral.
