- News: WHEREAS, Walsh Rural Water District (the ""District"") issued its Water Revenue Refunding Bonds, Series 2012, dated August 29, 2012, in the original principal amount of $2,785,000 (the ""Bonds""); and WHEREAS, pursuant to a resolution adopted by the Board of Directors on August 16, 2012, the District appointed Starion Bond Services as Paying Agent, Bond Registrar and Transfer Agent for the Bonds and entered into an Agreement with Paying Agent, Bond Registrar and Transfer Agent with Starion dated August 29, 2012 (the ""Agreement""); and WHEREAS, Section 14 of the Agreement provides that the Agreement may be terminated by either party by giving the other party at least thirty (30) days` advance notice; and WHEREAS, the District has issued its Water Revenue Bonds, Series 2016, dated June 2, 2016, in the principal amount of$ l ,OOO,OOO and appointed U.S. Bank National Association, St. Paul, Minnesota as Paying Agent, Bond Registrar and Transfer Agent for the Series 2016 Bonds; and WHEREAS, the District desires to consolidate its paying agent and bond registrar services with U.S. Bank National Association; NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Walsh Rural Water District, North Dakota, as follows: SECTION 1. NOTICEOFTERMINATION. The Manager of the District is hereby authorized and directed to give written notice of termination of the Agreement to Starion Bond Services effective August 1, 2016. On the termination date, Starion Bond Services shall deliver to the District any and all moneys, records and documents made or accumulated in the performance of its duties under the Agreement and shall refund the unearned balance, if any, of fees paid in advance by the District. SECTION 2. APPOINTMENT OF U.S. BANK. The District hereby appoints U.S. Bank National Association, St. Paul, Minnesota, to serve as successor registrar, paying agent and transfer agent for the Bonds effective August 1, 2016. The President and Manager are authorized to enter into an Agreement with Paying Agent, Bond Registrar and Transfer Agent between the District and U.S. Bank National Association.
