  • News: This Notice is provided by The Bank of New York Mellon (the ""Trustee"") pursuant to Section 9.1 of that certain Trust Agreement (the ""Trust Agreement"") by and between the New Jersey Health Care Facilities Financing Authority (the ""Authority"") and the Trustee, dated as of May 1, 2007 (the ""Trust Agreement""). On August 31, 2016, the Authority and the Trustee executed and delivered that certain First Amendment to Trust Agreement (the ""Supplemental Trust Agreement""). Section 9.1 of the Trust Agreement provides, in effect, that: (i) upon execution by the Authority and the Trustee of the Supplemental Trust Agreement, the Trustee shall mail this Notice setting forth in general terms the substance of the Supplemental Trust Agreement to each Rating Agency then rating the Bonds and the Holders of the Bonds at the address shown on the registration books of the Trustee; and (ii) any failure to give this Notice, or any defect herein, shall not however, in any way impair or affect the validity of the Supplemental Trust Agreement.   • News: Prior to the Closing of the Transaction, there existed certain master trust indentures pursuant to which certain affiliates of RWJBH had issued notes to the NJHCFFA to secure repayment of obligations under various NJHCFF A bond series. Each of these notes was replaced at the Closing by the issuance to the NJHCFF A of a substitute note (""Substitute Note"") made by the existing affiliate obligor (now a member of the new Obligated Group). Each Substitute Note was authorized under the New MTI as a joint and several obligation of the new Obligated Group. These master trust indentures were accordingly rendered of no further force or effect, and the collateral previously held by the respective master trustees was deemed released in exchange for the pledge to the New Master Trustee by the new Obligated Group of its Gross Revenues and the Gross Revenues Account under the New MTI. The Substitute Notes issued by certain members of the new Obligated Group in favor of the NJHCFF A and authorized under the New MTI now secure payment of the following NJHCFF A series, which bonds are deemed Related Bonds under the New MTI: (i) 2014A; (ii) 2012A; Refunding Bonds, Barnabas Health Obligated Group Issue, Series Revenue and Refunding Bonds, Barnabas Health Issue, Series (iii) Revenue Bonds, Robert Wood Johnson University Hospital Issue, Series 2014A; (iv) Revenue Bonds, Robert Wood Johnson University Hospital Issue, Series 2013A; (v) 2011B; Revenue and Refunding Bonds, Barnabas Health Issue, Series (vi) Variable Rate Revenue Bonds, RWJ Health Care Corp. at Hamilton Obligated Group Issue, Series 2002; (vii) Refunding Bonds, Children`s Specialized Hospital Issue, Series 2013A; (viii) Refunding Bonds, Children`s Specialized Hospital Issue, Series 2013B; and (ix) Revenue Bonds, Robert Wood Johnson University Hospital Issue, Series 2014B (Variable Rate). (b) Also the subject of a note substitution at Closing under the New MTI was the Amended and Restated Series 2012 Taxable Note with respect to the bonds identified as Barnabas Health System Taxable Revenue Bonds, Series 2012.
