  • News: UMB Bank, National Association serves as trustee (the Trustee) under the Trust Indenture, dated as of July 1, 2008 (the Indenture) between the Trustee and Bell County Health Facilities Development Corporation (the Issuer). Under the terms of the Indenture, the Issuer issued its Health Facilities Development Revenue Bonds (Advanced Living Technologies, Inc. Project) Series 2008 (the Bonds). Payment of principal and interest on the Bonds is secured, in part, by that certain Amended and Restated Loan Agreement dated as of July 1, 2008 (the Loan Agreement) between the Issuer and Advanced Living Technologies, Inc. (the Company or, the Debtor). The Company was the owner and operator of six nursing homes located in the state of Texas (collectively, the Facilities). As holders know from previous notices, numerous defaults and Events of Default remain outstanding including the ongoing bankruptcy of the Debtor. Further information regarding the status of the Bonds is reported below. STATUS UPDATE As holders of the Bonds have been previously notified, on February 20, 2013 (the Petition Date), the Company filed a voluntary petition for relief under chapter 11 of title 11 of the United States Code in the United States Bankruptcy Court for the Western District of Texas (the Bankruptcy Court). The bankruptcy case is styled In re Advanced Living Technologies, Inc., Debtor and the Case Number is 13-13013 (the Bankruptcy Case). The Bankruptcy Case converted to chapter 7 on August 16, 2013 and C. Daniel Roberts currently serves as the chapter 7 trustee (the Bankruptcy Trustee).

Under the terms of the Indenture, the Issuer issued its Health Facilities Development Revenue Bonds (Advanced Living Technologies, Inc. Project) Series 2008 (the Bonds). As described in the Trustees Notice to Holders, dated June 26, 2018, a final distribution to Holders of the Bonds has been scheduled for June 29, 2018. Please review that Notice for additional information concerning the distribution. Those holders whose bonds are registered in their own name and not in the name of Cede & Co. will receive their allocable share of the Final Distribution by mail to their registered address directly from the Trustee. The Bond certificates must be surrendered in order to receive the allocable share of the Final Distribution.
